1. Eligibility
You must be at least 21 years old and a qualified researcher or authorized representative of a research institution to browse or purchase from this site. Licensing verification will be required before your order ships. Please upload your clinical chemist license, signed attestation, or other certifications like an American Chemical Society certification. By placing an order, you represent that you meet these requirements and that you are purchasing for lawful research purposes only.
2. Research Use Only
All products are sold for laboratory research use only. They are not for human or veterinary consumption and are not drugs, foods, cosmetics, or dietary supplements. See our Research Use Disclaimer for full details, which is incorporated into these Terms by reference.
3. No Medical or Health Claims
Nothing on this site is medical advice. No product is intended to diagnose, treat, cure, or prevent any disease. Product information is limited to molecular and handling characteristics. Products are for research use only, not for use on humans or animals.
4. Prohibited Uses
- Using, or reselling for use, any product in or on humans or animals.
- Reselling products as drugs, supplements, foods, or cosmetics.
- Misrepresenting the intended use of any product to us, to a shipper, or to a payment processor.
- Misrepresenting your eligibility, institutional affiliation, or research purpose to obtain products.
- Any use that violates federal, state, or local law.
5. Orders, Pricing, and Payment
Prices are listed in US dollars and may change without notice. We may refuse or cancel any order at our discretion, including where we believe the intended use is not lawful research. Bulk pricing, where offered, is applied automatically at checkout. Accepted payment methods, applicable sales or use tax, and currency conversion (for international cards) are as displayed at checkout.
6. Shipping
We ship to qualified researchers wherever lawful. Title and risk of loss pass on to you on delivery. You are responsible for ensuring that receipt and possession of the products is lawful in your jurisdiction and follows all safe handling protocols and best practices.
7. Returns and Refunds
Returns are handled under our Refund and Returns Policy. Because these are research materials, opened vials cannot be returned except in the case of a verified defect or shipping error. Any claim of a defect or shipping error must be reported to us within 7 days of delivery.
8. Assumption of Risk
You assume all risk and liability associated with the receipt, handling, storage, and use of the products once they leave our facility. You agree to follow good laboratory practice and all applicable safety regulations
9. Warranty Disclaimer
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. We do not warrant that products will meet your specific research requirements.
10. Limitation of Liability
To the fullest extent permitted by law, Amino Performance is not liable for any indirect, incidental, special, or consequential damages arising from the use or misuse of any product. Our total liability for any claim is limited to the amount you paid for the product at issue.
11. Indemnification
You agree to indemnify and hold harmless Amino Performance and its officers, employees, and agents from any claim, loss, or expense arising from your breach of these Terms or your handling or use of any product.
12. Intellectual Property
All content on this site, including text, graphics, logos, product names, and the Amino Performance trademark, is owned by or licensed to Amino Performance and is protected by applicable intellectual property laws. You may not reproduce, distribute, scrape, or create derivative works from site content without our prior written consent.
13. Privacy
Our collection and use of personal information in connection with your use of this site is described in our Privacy Policy, which is incorporated into these Terms by reference.
14. Third-Party Links
This site may contain links to third-party websites. We do not endorse and are not responsible for the content, products, or practices of any linked third-party site.
15. Electronic Communications
By using this site or placing an order, you consent to receive communications from us electronically, including order confirmations, notices, and disclosures, and you agree that such electronic communications satisfy any legal requirement that such communications be in writing.
16. Export Control and International Sales
If we ship outside the United States, you are responsible for compliance with all applicable import, export, and sanctions laws, including U.S. Export Administration Regulations and Office of Foreign Assets Control requirements. We may refuse to ship to any destination or party restricted under applicable law.
17. Certificates of Analysis and Product Testing
Where provided, Certificates of Analysis (COAs) reflect testing of a specific batch or lot and are provided for reference only. We make no warranty regarding the accuracy of third-party testing or the suitability of any batch for a particular research application
18. Regulatory Status Disclaimer
Products sold on this site are not approved by the U.S. Food and Drug Administration and are not evaluated or scheduled as controlled substances under the Controlled Substances Act unless expressly stated. You are solely responsible for confirming the legal status of any product in your jurisdiction prior to purchase, receipt, or use.
19. Dispute Resolution; Arbitration; Class Action Waiver
Except for claims eligible for small claims court, any dispute arising out of or relating to these Terms or your use of the site will be resolved by binding, individual arbitration rather than in court, except that either party may bring an individual action in small claims court. YOU AND AMINO PERFORMANCE EACH WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.
20. Governing Law and Venue
These Terms are governed by the laws of the State of Colorado, without regard to conflict of law rules. Any dispute not subject to arbitration under Section 19 will be resolved in the state or federal courts located in Colorado.
21. Force Majeure
We are not liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, carrier delays, labor disputes, supply shortages, or governmental action.
22. Notices
Legal notices to Amino Performance must be sent to info@amino-performance.com or such other address as we may designate. Notices to you will be sent to the email address associated with your order or account.
23. Severability
If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
24. Entire Agreement
These Terms, together with the Research Use Disclaimer and Refund and Returns Policy incorporated by reference, constitute the entire agreement between you and Amino Performance regarding your use of the site and supersede any prior agreements or representations.
25. Waiver
Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that or any other provision in the future.
26. Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
27. Changes
We may update these Terms at any time. Material changes will be indicated by an updated “Updated” date below. Continued use of the site after changes are posted means you accept the revised Terms.
